Elon Musk Shifts SpaceX to Texas After Delaware Rejects Pay Deal

SpaceX CEO Elon Musk made headlines as he announced the SpaceX company’s transition from Delaware to Texas following legal hitches with his mammoth Tesla compensation package. The move, detailed in a post on X (formerly Twitter), comes on the heels of a court ruling in Delaware nullifying Musk’s staggering $56 billion pay deal at Tesla, where he also holds the position of CEO.

The CEO also uploaded several social media posts to share and announce his decision and new developments. As per usual, he didn’t hold back when making his posts.

Musk’s dissatisfaction with the ruling was palpable, leading him to advise against incorporating companies in Delaware, alongside proposing a relocation poll for Tesla to Texas, a notion overwhelmingly supported by respondents. “The public vote is unequivocally in favor of Texas!” Musk proclaimed after the vote closed. “Tesla will move immediately to hold a shareholder vote to transfer state of incorporation to Texas.”


The judge’s decision was prompted by a lawsuit from a shareholder who argued that Musk’s close relationships with the directors negotiating the package were not adequately disclosed prior to the stockholder vote. Additionally, the court found discrepancies in the performance targets of the compensation plan, suggesting they were easier to achieve than initially portrayed, with internal projections indicating Musk was already on course to meet significant portions of the package.

Privately held SpaceX swiftly facilitated its shift to Texas, leveraging its status to expedite the process. Musk marked the occasion by sharing the SpaceX logo against the backdrop of Texas.

The relocation from Delaware to Texas signifies more than a mere change in paperwork — it underscores Musk’s dynamic approach to navigating legal complexities and resilience in the face of setbacks, ensuring minimal disruption to his ventures amidst regulatory challenges.
