Sears parent to acquire Sears Hometown and Outlet Stores

Transform Holdco, the parent company of the remains of Sears and Kmart, has reached a deal to acquire the outstanding shares of Sears Hometown and Outlet Stores not already owned by ESL Investments for $2.25 a share. ESL Investments is led by CEO Eddie Lampert who doubles as chairman of Transform Holdco.
